Terms of Service

Our terms and conditions

1. Agreement to Terms

By accessing or using SignalP ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

2. Description of Service

SignalP is a Software-as-a-Service (SaaS) platform designed for active intraday futures traders. Our Service provides:

  • Real-time playbook signal alerts with entry, stop, target, and rationale
  • A protected learning management system (LMS) with courses on market profile and volume profile methodologies
  • Market data quicksheets and actionable intelligence
  • Personal playbook development and tracking tools
  • Team collaboration features for trading teams

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Immediately notify us of any unauthorized use of your account
  • Use a strong, unique password
  • Enable multi-factor authentication when available
  • Not share your account credentials with third parties

3.3 Team Accounts

If you create or join a team account, you acknowledge that team owners and administrators have the authority to manage team members, access team data, and modify team settings. You are responsible for understanding and complying with your team's policies and permissions.

4. Subscription and Billing

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law or as explicitly stated in our refund policy.

4.2 Payment Processing

Payments are processed through third-party payment processors (e.g., Stripe). By providing payment information, you authorize us to charge your payment method for all fees due. You are responsible for maintaining valid payment information.

4.3 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated to you in advance and will apply to subsequent billing cycles. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods, except as required by law or at our sole discretion.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or unauthorized purpose
  • Share, resell, or redistribute access to the Service without authorization
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission

6. Intellectual Property

6.1 Our Content

The Service, including all content, features, functionality, and software, is owned by SignalP and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

6.2 Your Content

You retain ownership of any content you create, upload, or submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your User Content solely for the purpose of providing and improving the Service.

6.3 LMS Content

All educational content, courses, and materials provided through our Learning Management System are protected by copyright. You may access and use this content only in accordance with your subscription plan and these Terms. You may not download, copy, redistribute, or share LMS content outside of the Service.

7. Trading Disclaimers

IMPORTANT RISK DISCLOSURE: Trading futures contracts involves substantial risk of loss and is not suitable for all investors. Past performance is not indicative of future results.

SignalP provides educational content and trading signals for informational purposes only. We do not provide financial, investment, or trading advice. All trading decisions are your sole responsibility.

You acknowledge and agree that:

  • All trading involves risk of loss
  • You should never trade with money you cannot afford to lose
  • You should consult with a qualified financial advisor before making trading decisions
  • We are not responsible for any trading losses you may incur
  • Signals and educational content are not guarantees of future performance

8. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SignalP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, violation of these Terms, or infringement of any rights of another.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Colorado, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except where prohibited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

15. Severability
